Terms of Service

The short version. This summary is for convenience; the full Terms below govern.

  • Everything we publish is education, not investment advice. We are not an investment adviser, broker, or financial planner, and we do not know your financial situation.
  • Day trading is risky. Most day traders lose money. You can lose your entire trading capital. Trade only with money you can afford to lose.
  • You make every trading decision and own the results. Our tools identify locations on a chart and estimate position sizes; they do not tell you to buy or sell, and neither do we. Cohort trade reviews look back at trades you have already closed.
  • Membership renews automatically until you cancel. Cancel anytime; your access runs through the end of the paid period. Refund terms are in Section 9.
  • Your login and indicator access are yours alone. Do not share them, copy the indicator, or redistribute lessons.
  • Be decent in the community. We can remove content or members who break the rules.
  • Disputes are resolved individually, under California law, as described in Section 21.

1. Agreement to these Terms

These Terms of Service (“Terms”) are an agreement between you and TraderFoundry LLC, a California limited liability company (“TraderFoundry,” “we,” “us,” or “our”). They govern your use of traderfoundry.com, the TraderFoundry membership and community, recorded lessons, the Morning Market Analysis, live sessions, advanced cohort programs, the TraderFoundry TradingView indicator (including “Quant Zones” and any related scripts), our emails, and content we publish on YouTube or social media (together, the “Services”).

By visiting the site, joining the waitlist, creating an account, or purchasing a membership or program, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services. Additional terms may apply to specific programs (for example, a cohort enrollment page); if they conflict with these Terms, the program-specific terms control for that program.

2. Who may use the Services

You must be at least 18 years old and able to form a binding contract. The Services are directed to residents of the United States; if you access them from elsewhere, you are responsible for complying with your local laws, and we may restrict availability by location. You agree to provide accurate information and to keep it current. Accounts, logins, and indicator access are personal to you and may not be shared, lent, sold, or transferred.

3. Educational purpose only; no investment advice

3.1 Everything in the Services — lessons, live sessions, community discussions, the Morning Market Analysis, charts, indicator plots, position-size estimates, backtests, and MC's commentary — is general educational information. It is impersonal: it is not based on, and does not take into account, your financial situation, goals, risk tolerance, or experience.

3.2 Nothing in the Services is a recommendation, solicitation, or offer to buy, sell, or hold any security, option, or other instrument, or to use any particular strategy, broker, or platform.

3.3 TraderFoundry and MC are not registered as an investment adviser, broker-dealer, commodity trading advisor, or financial planner with the SEC, FINRA, the CFTC, the NFA, or any state regulator, and we do not provide personalized investment, legal, tax, or accounting advice. We operate as a publisher of general educational content. If you need advice about your own situation, consult a licensed professional.

3.4 You alone decide whether, what, when, and how much to trade, and you are solely responsible for every trade and its results — including trades you take during or after a live session, or in a stock discussed in the Morning Market Analysis or the community.

3.5 MC trades his own account, including stocks in the TraderFoundry universe and stocks discussed in the Services. He may hold, buy, or sell any security at any time — before, during, or after discussing it — without notice, and his trades may differ from what is discussed. Nothing about MC's trading should be treated as a signal to trade.

3.6 We do not tell any member what to trade, when to trade it, or what to do with a position they hold — not in lessons, live sessions, the community, or advanced cohorts. Cohort trade reviews look back at trades you have already closed: in hindsight, and against the method we teach, we discuss where the better entries and exits were, where the method did not work, and why, when the chart offers clues. That is education about your past decisions, not advice about your future ones. If you ask for a trade recommendation, we will decline.

4. Trading risk disclosure

4.1 Day trading is speculative and involves substantial risk, including the loss of your entire trading capital and, when margin or short selling is used, losses that exceed your deposit. Options carry additional risks, including rapid time decay and total loss of the premium paid.

4.2 Most day traders lose money. Academic studies of retail day traders, including Barber, Lee, Liu, and Odean's study of day traders in Taiwan and Chague, De-Losso, and Giovannetti's study of day traders in Brazil, have consistently found that the large majority lose money and only a small minority are consistently profitable. No education, tool, or community changes that base rate for you automatically.

4.3 We do not track our members' trading results and have no access to your brokerage account. We make no claim about what members typically earn or lose, and we make no promise that you will be profitable, that you will reduce your losses, or that you will achieve any particular outcome.

4.4 Position-size estimates produced by the indicator are arithmetic based on the risk settings you enter. They are estimates. Slippage, gaps, trading halts, partial fills, volatility, commissions, and fees mean that actual losses can exceed what you planned.

4.5 Trade only with money you can afford to lose. Consider practicing in a simulator before risking capital, and understand the margin, pattern-day-trader, and tax rules that apply to your account.

5. Historical examples, backtests, and hypothetical performance

5.1 Charts, trade reviews, and examples we publish are selected to teach a concept. They are not a complete or verified record of trades executed by MC or anyone else, and they are not representative of typical results.

5.2 From time to time we publish statistics and backtests of well-known strategies (for example, opening-range breakouts) and of our own tools. These are hypothetical performance results and have inherent limitations: they are prepared with the benefit of hindsight; they do not involve financial risk or the psychological pressure of real losses; they usually exclude commissions, fees, slippage, and liquidity constraints; they depend on the parameters and historical period chosen; and market behavior changes over time. No representation is made that any account will or is likely to achieve profits or losses similar to those shown. There are frequently sharp differences between hypothetical results and the results actually achieved by any particular trading approach.

5.3 Where we show results from a live account, we will say so. Where we do not say so, assume the results are hypothetical or illustrative.

6. Testimonials and endorsements

Our marketing does not feature trading profits — MC's or members'. If we publish testimonials or member stories, they describe the learning experience, reflect that member's individual experience, and are not typical. Unless stated otherwise, members are not compensated for testimonials, and testimonials may be edited for length. Consistent with the Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising, you should not assume that you will achieve any particular result.

7. Accounts and security

Keep your password confidential; you are responsible for all activity under your account. Notify us immediately at [email protected] of any unauthorized use. We may require you to re-verify your identity, and we may suspend or terminate accounts that are shared or used in violation of these Terms.

8. Membership, pricing, and automatic renewal

8.1 The TraderFoundry Membership is a subscription. The price, billing interval (monthly or annual), and what is included are shown at checkout.

8.2 Automatic renewal. Your subscription renews automatically at the end of each billing period at your plan's price — your locked rate if Section 8.3 applies to you, otherwise the then-current price — and your payment method on file is charged until you cancel. By purchasing, you authorize these recurring charges. We will send renewal reminders where the law requires them. For members not covered by Section 8.3, we will send you a clear notice of any price increase, stating the new price and how to cancel, no less than 7 and no more than 30 days before the first charge at the new price; we may also announce the change earlier. The increase takes effect at your next renewal after that notice, and you may cancel before then.

8.3 Founding-member and promotional pricing. If you join under a founding-member or other promotional rate, that rate is locked for as long as your subscription remains active and in good standing, and price increases do not apply to you. If you cancel or your subscription lapses for non-payment, the locked rate ends, and rejoining is at the then-current price.

8.4 Payment processing. Payments are processed by Kajabi Payments (powered by Stripe), whose terms also apply. If a payment fails, we may retry it and suspend access until it clears; if the failure is not resolved within 7 days, we may cancel the subscription.

8.5 Taxes. Prices exclude taxes unless stated otherwise. Applicable sales tax or VAT is added at checkout.

8.6 Free trials. If we offer a free trial or promotional period, it converts to a paid subscription at the end of the period unless you cancel first. The terms are shown at the time of the offer.

9. Cancellation and refunds

9.1 Cancellation. Cancel anytime from your account settings or by emailing [email protected]. Cancellation takes effect at the end of your current billing period; you keep access until then. We do not issue partial-period refunds, except as provided in Section 20.

9.2 First-time money-back guarantee. If you are a first-time member and the membership is not for you, email us within 7 days of your first payment for a full refund of that payment. One refund per person. Renewals, re-subscriptions, and payments outside the 7-day window are non-refundable. We refund the amount we received; your bank may not return currency-conversion or foreign-transaction fees.

9.3 Cohorts and fixed-date programs have their own refund terms, shown at enrollment. Unless stated otherwise, program fees are refundable until 7 days before the program starts and non-refundable after that.

9.4 Chargebacks. Please contact us before disputing a charge; most billing issues can be fixed within a day. Disputing a valid charge after receiving services may result in termination of your access.

9.5 Effect of cancellation. When your paid period ends, indicator access is revoked, community access ends, and your license to the content ends. We may keep your community posts in anonymized form.

10. TradingView indicator license

10.1 As an active member, you receive a limited, personal, non-exclusive, non-transferable, revocable license to use the TraderFoundry indicator(s) on your own TradingView account, for your own trading and learning, for as long as your membership is active.

10.2 Access is granted to one TradingView username that you provide. You may change that username once per billing period by contacting us. You need your own TradingView account; TradingView's terms and fees are your responsibility. TradingView is not affiliated with TraderFoundry and is not responsible for the Services.

10.3 You may not: share your TradingView account or indicator access with anyone; copy, screenshot-and-redistribute, scrape, export, or republish the indicator's plotted values, zones, or alerts, whether free or for a fee; reverse engineer, decompile, or attempt to derive the indicator's methodology, parameters, or source code; build a derivative indicator, signal service, bot, or dataset from its output; or use it on behalf of a fund, firm, or other third party without a separate written license.

10.4 The indicator's methodology and parameters are confidential trade secrets of TraderFoundry and are not disclosed to members.

10.5 We may update, modify, or replace the indicator at any time. Availability depends on TradingView; we are not responsible for TradingView outages, data issues, or changes to its platform. If we permanently stop providing the indicator without an equivalent replacement, Section 20 applies.

10.6 When your membership ends for any reason, this license ends and access is revoked.

11. Our content and intellectual property

All content in the Services — lessons, videos, text, charts, graphics, the Morning Market Analysis, the indicator, the TraderFoundry name and logo, and the Quant Zones and “Forge your edge” marks — is owned by TraderFoundry LLC or its licensors and protected by copyright, trademark, and trade-secret law. You receive a limited, personal, non-commercial license to view the content while you are a member.

You may not record, download (except where we provide a download), copy, share, resell, publicly display, or create derivative works from the content; share lesson or live-session recordings; use the content to train artificial-intelligence models; or remove any proprietary notices. Short quotations with attribution in your personal study notes are fine.

If you believe content on the Services infringes your copyright, email [email protected] with the information required by the Digital Millennium Copyright Act.

12. Community rules and your content

12.1 The community exists for members to learn together. Be respectful. Do not: harass, threaten, or demean anyone; post hateful, obscene, or discriminatory content; spam, advertise, or solicit members for other services, signal rooms, funds, or investments; share or request indicator access, logins, or paid content; post personal information about others; coordinate or promote market manipulation (including pump-and-dump schemes) or any other illegal activity; give, or hold yourself out as giving, personalized investment advice to other members; or impersonate TraderFoundry staff.

12.2 What you post is your opinion and your responsibility. Other members' posts are their opinions, not ours. Members may hold positions in stocks they discuss. Do not rely on community posts as advice.

12.3 You keep ownership of what you post. You grant TraderFoundry a non-exclusive, royalty-free, worldwide license to host, display, and distribute your content within the Services, and to use anonymized or de-identified excerpts, with identifying details removed, for educational purposes.

12.4 We may moderate, edit for compliance, or remove content, and suspend or remove members, at our discretion, with or without notice, for violations of these rules.

13. Live sessions and recordings

Live screen shares and discussions are a membership feature offered on a schedule announced in the community. They are not guaranteed to occur on any particular day or at any particular frequency. Sessions may be recorded and made available to members. By participating with your microphone or camera on, you consent to being recorded and to the recording being shared with members; keep them off if you prefer not to be recorded. Trades, levels, or opinions MC discusses live are educational commentary under Section 3, not recommendations.

14. Morning Market Analysis

The Morning Market Analysis is produced with automated systems, including AI-assisted summarization of publicly available news and market data, and is published before the market opens without manual verification of every item. It may contain errors, omissions, outdated information, or misattributed sources. Verify important facts against primary sources before acting on them. The stocks in focus are a watchlist for study, not a recommendation to trade them.

15. Prohibited conduct

In addition to the rules above, you agree not to: use the Services for any unlawful purpose or in violation of securities laws; interfere with or disrupt the Services, servers, or networks; use bots, scrapers, or other automated means to access the Services; circumvent paywalls, access controls, or payment; attempt to access other members' accounts; upload malicious code; or use our materials to build or market a competing product.

16. Third-party services

The Services rely on and link to third parties, including Kajabi, TradingView, Stripe, Zoom, YouTube, and brokers' websites. We do not control them and are not responsible for their availability, content, or practices. Mentioning a broker, platform, or data provider is not an endorsement or recommendation. Your relationship with your broker is yours alone.

17. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, TRADERFOUNDRY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE INDICATOR, THE MORNING MARKET ANALYSIS, OR ANY OTHER CONTENT IS ACCURATE, COMPLETE, OR TIMELY, OR THAT IT WILL PRODUCE ANY PARTICULAR RESULT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

18. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) TRADERFOUNDRY, ITS OWNER, AND ITS CONTRACTORS WILL NOT BE LIABLE FOR ANY TRADING LOSSES, LOST PROFITS, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR $100. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT.

19. Indemnification

You agree to defend, indemnify, and hold harmless TraderFoundry and its owner, contractors, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your content, your violation of law or of a third party's rights, or your trading activity.

20. Termination

You may stop using the Services or cancel at any time (Section 9). We may suspend or terminate your access, with or without notice, if you breach these Terms, share access, abuse the community, or dispute a valid charge; in those cases no refund is due. On termination, your licenses end.

If we discontinue the Services, or permanently stop providing the indicator without an equivalent replacement, we will give you notice and refund the unused portion of any fees you prepaid, calculated pro rata from the date the Services or the indicator ended. Sections 3 through 6, 10.3 and 10.4, 11, 12.2 and 12.3, and 17 through 24 survive termination.

21. Dispute resolution; arbitration; class-action waiver

21.1 Informal resolution first. Before filing a claim, email [email protected] with your name, account email, a description of the dispute, and the relief you seek. We will do the same if we have a claim against you. If the dispute is not resolved within 30 days, either party may proceed under this Section.

21.2 Binding arbitration. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property or to stop unauthorized use of the Services. The Federal Arbitration Act governs this Section. The arbitration will be conducted by videoconference or in San Diego County, California, unless the parties agree otherwise. Fees are allocated under the AAA rules.

21.3 Class-action and jury waiver. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, consolidated, or representative action. You and TraderFoundry each waive the right to a jury trial. Nothing in this Section prevents you from seeking public injunctive relief in court where applicable law gives you that right.

21.4 Opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms, stating your name, your account email, and that you opt out. If you opt out, or if this Section is found unenforceable, disputes will be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to their jurisdiction.

22. Governing law

California law governs these Terms, without regard to its conflict-of-law rules, together with the Federal Arbitration Act as to Section 21.

23. Changes to these Terms

We may update these Terms. We will post the new version with a new “Last updated” date and, for material changes, notify members by email or by a prominent notice on the site at least 30 days before the changes take effect, unless a change is required by law or addresses a new feature, in which case it is effective on posting. Continued use after the effective date means you accept the changes; if you do not, cancel before they take effect. Prior versions of these Terms are available on request.

24. General terms

These Terms, the Privacy Policy, and any program-specific terms are the entire agreement between you and TraderFoundry about the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor. We are not liable for delays or failures caused by events beyond our reasonable control, including market-data outages and platform failures. You consent to receive notices, receipts, and disclosures electronically at the email address on your account. There are no third-party beneficiaries. Headings are for convenience only.
